SpaceX to Acquire EchoStar AWS-3 Spectrum Licenses in $2.6 Billion Stock Deal

EchoStar has amended its agreement with SpaceX to sell its entire portfolio of unpaired AWS-3 spectrum licenses for approximately $2.6 billion in SpaceX stock, valued as of September 2025. These nationwide licenses are part of 3GPP Band 70n, providing uplink frequencies from 1695 to 1710 MHz, and the deal builds on an earlier agreement between the two companies announced in September.

The AWS-3 licenses, along with AWS-4 and H-block spectrum currently held by EchoStar, will enable SpaceX to advance its Starlink Direct to Cell satellite constellation. This larger pool of spectrum is earmarked for next-generation direct-to-device satellite communications, aimed at providing coverage for texting, calling, and internet access to consumer and enterprise users worldwide, including Boost Mobile customers.

Hamid Akhavan, CEO of EchoStar Capital, said, "This transaction with SpaceX, in addition to our previously announced spectrum transactions and commercial agreements, will strengthen EchoStar's ability to develop new business opportunities and growth in value for our shareholders.

"The combination of AWS-3 uplink, AWS-4 and H-block spectrum from EchoStar with the rocket launch and satellite manufacturing capabilities from SpaceX accelerates the realization of powerful and economical direct-to-cell service offerings for consumers and enterprises worldwide, including our Boost Mobile customers."

The completion of the transaction remains subject to regulatory approvals and other customary closing conditions. Both companies stated that current operations of EchoStar's DISH TV, Sling TV, Boost Mobile, and Hughes business will not be impacted by the spectrum sale. EchoStar and SpaceX emphasized that the move is intended to accelerate Starlink's ambitions in global direct-to-cell coverage and connectivity solutions.
